These Terms of Service (the "Terms") govern your access to and use of the Gentry website, applications, and related services (collectively, the "Service") operated by Gentry ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Your Account

To use most of the Service you must create an account. You agree to provide accurate and complete information when you sign up, to keep that information current, and to keep your password and access credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly if you suspect any unauthorized use.

3. Use of the Service

You may use the Service only for lawful, personal, non-commercial purposes and in accordance with these Terms. You agree not to:

Use the Service in any way that violates applicable laws or regulations.
Attempt to gain unauthorized access to any part of the Service, its systems, or its data.
Interfere with or disrupt the Service, including by introducing malware, bots, or excessive automated requests.
Reverse engineer, decompile, or otherwise attempt to derive source code from any portion of the Service, except to the extent permitted by law.

The Service lets you enter financial data, including account balances, transactions, and goals ("Your Content"). You retain all rights to Your Content. You grant us a limited, non-exclusive license to host, store, and process Your Content solely to operate, secure, and improve the Service for you. You represent that you have the right to provide Your Content to us and that Your Content does not infringe the rights of any third party.

5. Not Financial Advice

Gentry is a tracking and visualization tool. The projections, milestones, and calculations the Service displays are estimates based on the data you provide and on assumptions you can adjust. The Service does not provide investment, tax, legal, or financial advice and is not a substitute for the advice of a qualified professional. You are solely responsible for your financial decisions.

6. Third-Party Services and Market Data

The Service may display market data sourced from third parties and may integrate with third-party services such as authentication providers. Those services are governed by their own terms and we are not responsible for their content, availability, accuracy, or security. Market data may be delayed or contain errors.

7. Subscriptions and Fees

Portions of the Service may be offered for free; other portions may require a paid subscription. If you purchase a subscription, you agree to the pricing, billing, and renewal terms shown at the time of purchase. Fees are non-refundable except where required by law.

8. Intellectual Property

The Service, including its software, design, text, graphics, logos, and trademarks, is owned by Gentry or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal use, subject to these Terms. We reserve all rights not expressly granted.

9. Feedback

If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, royalty-free license to use that feedback for any purpose without obligation to you.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or to protect the Service or other users. On termination, the rights granted to you under these Terms will end, but provisions that by their nature should survive will continue to apply.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

12. Limitation of Liability

To the maximum extent permitted by law, Gentry and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or related to your use of the Service. Our aggregate liability for any claim relating to the Service is limited to the greater of one hundred U.S. dollars or the amounts you paid us in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Gentry from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, or your breach of these Terms.

14. Changes to the Service or Terms

We may change the Service or these Terms at any time. If we make material changes, we will give you reasonable notice, for example by posting a notice in the Service or sending you an email. Your continued use of the Service after the changes take effect means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
